1. Introduction

Welcome to AdCider! These Terms of Use ("Terms") govern your access to and use of the AdCider website, platform, software, and services (collectively, the "Service") provided by Nixes EOOD, a company registered in Bulgaria with registration number 202050897, having its registered address at Sofia, Bulgaria ("Nixes," "we," "us," or "our").

By accessing or using the Service, creating an account, or clicking a button or checking a box marked "I Agree" (or similar), you signify that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference. If you do not agree with these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization or entity ("Organization"), then you are agreeing to these Terms on behalf of that Organization, and you represent and warrant that you have the authority to bind the Organization to these Terms. In that case, "you" and "your" will refer to that Organization.

2. Service Description

AdCider is a Software-as-a-Service (SaaS) platform designed to manage Apple Search Ads (ASA) campaigns using Artificial Intelligence (AI) for a largely hands-off optimization approach. The Service requires users to connect their ASA API credentials to allow AdCider to manage and optimize campaigns. Users can pause, delete, and request AI updates with provided instructions for their campaigns. The Service may also include an attribution SDK for Swift to help track app installs and purchases for campaign optimization.

3. User Accounts

  • Account Creation: To use AdCider, you must register for an account. You can create an account using your email address and a password, or by using Google Sign-In or Apple Sign-In. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
  • Account Responsibility: You are responsible for safeguarding your password and any other credentials used to access your account. You agree not to disclose your password to any third party. You are solely responsible for all activities that occur under your account, whether or not you have authorized such activities. You must notify us immediately at hi@adcider.com of any unauthorized use of your account.
  • Age and Eligibility: To use AdCider, you must be at least 18 years of age or the age of legal majority in your jurisdiction, and possess a valid payment method acceptable to our third-party payment processor. By using the Service, you represent and warrant that you meet these requirements.

4. Subscription, Fees, Payment, and Refunds

  • 4.1 Subscription Plans: AdCider is offered under one or more monthly subscription plans ("Subscription Plans") with different features and usage limits, as detailed on our website.

  • 4.2 Fees: You agree to pay all applicable fees for your chosen Subscription Plan as specified at the time of purchase. All fees are quoted in the currency specified at checkout and are exclusive of any applicable taxes (like VAT), for which you are responsible.

  • 4.3 Payment Processing: We use Paddle.com Market Limited ("Paddle") as our merchant of record and third-party payment processor. By subscribing to the Service, you agree to Paddle's terms and conditions and privacy policy. We do not store your full credit card information.

  • 4.4 Automatic Renewal: To ensure uninterrupted service, your monthly subscription is automatically renewed at the end of each monthly billing period. You authorize us (via Paddle) to charge your payment method for the renewal term unless you cancel your subscription before the end of the current billing period through your account settings.

  • 4.5 Free Trial: We offer a 14-day free trial for new users to allow you to fully evaluate the Service before making a payment. You must provide a valid payment method to start the trial. If you do not cancel before the end of the trial period, your subscription will automatically convert to a paid plan, and your payment method will be charged for the first month. It is your responsibility to cancel before the trial ends to avoid charges.

  • 4.6 Payment Failure: If your payment fails, your access to certain features of the Service, particularly AI-driven campaign updates, may be suspended or limited. Your existing campaigns may continue to run based on their last valid state before the payment failure, but no new optimizations will be applied by AdCider until payment is successfully processed.

  • 4.7 Refund Policy

    • General Policy: We are committed to transparency and want you to be happy with your purchase. Our 14-day free trial is designed to give you ample time to explore AdCider's features and determine if it meets your needs before any payment is required. For this reason, as a general rule, we do not issue refunds or credits for subscription fees once a charge has been processed. This includes partially used subscription periods or if you forget to cancel your subscription before the renewal date.
    • For Customers in the EU/UK: For clarity, the statutory 14-day right of withdrawal begins when your free trial converts to a paid subscription. By agreeing to these Terms and allowing your paid subscription to begin, you expressly consent to the immediate performance of the Service and acknowledge that you thereby lose your right of withdrawal. The free trial is your opportunity to evaluate the service risk-free.
    • Our Commitment to Service Availability: We stand behind our Service. In the rare event of a significant technical failure or prolonged unavailability of the Service that is directly attributable to Nixes, we may consider a prorated refund on a case-by-case basis. To be considered, you must notify us at hi@adcider.com while the issue is ongoing and provide documentation of the service failure and its impact on your ability to use the core functionalities. We are not responsible for, and will not provide refunds for, issues arising from your Apple Search Ads account, your API credentials, or other third-party services.
    • Processing: Any refund that we may approve will be processed through our payment processor, Paddle, and returned to the original payment method.

  • 4.8 Price Changes: We reserve the right to change our subscription fees. We will provide you with at least thirty (30) days' prior notice of any price changes, typically via email. Your continued use of the Service after a price change becomes effective constitutes your agreement to pay the new amount.

5. User Responsibilities and Acceptable Use

  • ASA API Credentials:
    • You are responsible for generating valid Apple Search Ads API credentials from your ASA account.
    • You authorize AdCider to use these credentials to access your ASA account, retrieve data, and manage your campaigns on your behalf as per the functionality of the Service.
    • You are responsible for the security of your ASA API credentials until they are securely transmitted to AdCider. We will store these credentials securely using strong encryption.
    • You are responsible for ensuring that the permissions granted via your ASA API credentials are appropriate for the intended use by AdCider.
  • Compliance with Laws and Policies: You are solely responsible for your ad content and campaigns. You agree to comply with all applicable laws, regulations, and Apple's Search Ads Advertising Content Policies when using AdCider.
  • Prohibited Activities: You agree not to:
    • Use the Service for any illegal or unauthorized purpose.
    • Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code, AI algorithms, or underlying ideas or trade secrets of AdCider.
    • Modify, adapt, translate, or create derivative works based on the Service.
    • Rent, lease, distribute, sell, sublicense, or otherwise transfer access to the Service to any third party without our prior written consent.
    • Interfere with or disrupt the integrity or performance of the Service or the data contained therein.
    • Attempt to gain unauthorized access to the Service or its related systems or networks.
    • Upload, post, or transmit any content that is infringing, libelous, defamatory, obscene, pornographic, abusive, or otherwise violates any law or right of any third party.
    • Transmit any viruses, worms, defects, Trojan horses, or any items of a destructive nature.
  • Attribution SDK: If you use our Attribution SDK, you are responsible for ensuring that its integration and use within your application(s) comply with all applicable laws, platform policies (e.g., Apple App Store guidelines), and that you provide necessary disclosures to your end-users, including in your App Store privacy report, regarding the data collected by the SDK.

6. Intellectual Property

  • Nixes's Intellectual Property: The Service, including its software, AI algorithms, design, text, graphics, logos, and all other elements, are the exclusive property of Nixes and its licensors, protected by copyright, trademark, and other intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes in accordance with these Terms.
  • Your Data:
    • You retain all ownership rights to the data you provide to AdCider, including your ASA campaign data, data collected via the Attribution SDK (if applicable), and any reports or insights generated by AdCider specifically from your data for your use ("Your Data").
    • You grant Nixes a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, display, and process Your Data solely for the purpose of providing, maintaining, and improving the Service for you.
    • We may use anonymized and aggregated data derived from Your Data for analytics, research, and to improve the overall AdCider Service, provided that such data does not identify you or your Organization.
  • Feedback: If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a worldwide, perpetual, irrevocable, royalty-free license to use and incorporate such Feedback into the Service without any obligation or compensation to you.

7. Termination

  • Termination by You: You may terminate your account and these Terms at any time by deleting your account through the Service's interface or by contacting us at hi@adcider.com. Upon termination, your access to the Service will cease at the end of your current paid billing period (if applicable).
  • Termination by Nixes: We may suspend or terminate your access to the Service, in whole or in part, at our sole discretion, without prior notice or liability, for any reason, including but not limited to:
    • A breach of these Terms.
    • Non-payment of fees.
    • Engaging in illegal or fraudulent activities.
    • If required by law or by a regulatory authority.
  • Effect of Termination: Upon termination, all rights and licenses granted to you under these Terms will immediately cease. We will delete Your Data associated with your account as described in our Privacy Policy and your specific instructions (e.g., upon account deletion). Nixes will not be liable to you or any third party for any termination of your access to the Service. Provisions that by their nature should survive termination will survive (including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability).

8. Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

NIXES DOES NOT WARRANT THAT: (A) THE SERVICE WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

WE MAKE NO GUARANTEES REGARDING THE PERFORMANCE, ROI, OR ANY SPECIFIC OUTCOMES OF YOUR APPLE SEARCH ADS CAMPAIGNS MANAGED THROUGH ADCiDER. ADVERTISING RESULTS ARE DEPENDENT ON NUMEROUS FACTORS BEYOND OUR CONTROL, INCLUDING THE QUALITY OF YOUR APP, MARKET CONDITIONS, AND AD CREATIVES.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NIXES, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO THE USE OF, OR INABILITY TO USE, THE SERVICE.

UNDER NO CIRCUMSTANCES WILL NIXES'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, OR CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO NIXES IN THE LAST SIX (6) MONTHS FOR THE SERVICE, OR ONE HUNDRED EUROS (EUR 100.00), WHICHEVER IS GREATER, IF YOU HAVE NOT HAD ANY PAYMENT OBLIGATIONS TO NIXES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

10. Indemnification

You agree to defend, indemnify, and hold harmless Nixes and its affiliates, directors, officers, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that Your Data or your ad content caused damage to a third party. This indemnification obligation will survive the termination of these Terms and your use of the Service.

11. Governing Law and Dispute Resolution

  • Governing Law: These Terms shall be governed and construed in accordance with the laws of Bulgaria, without regard to its conflict of law provisions.
  • Dispute Resolution:
    • Negotiation: We encourage you to contact us at hi@adcider.com if you have a dispute. We will try to resolve any disputes with you amicably through good faith negotiations.
    • Jurisdiction: If we are unable to resolve a dispute through negotiation, you agree that any legal action or proceeding arising out of or relating to these Terms or the Service shall be brought exclusively in the competent courts located in Sofia, Bulgaria. You hereby consent to the personal jurisdiction and venue of such courts. (Consider consulting legal counsel about including an arbitration clause as an alternative to court proceedings.)

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least thirty (30) days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. Notice of changes may be provided via email to the address associated with your account, an in-app notification, or by posting the updated Terms on our website.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you must stop using the Service.

13. Miscellaneous

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and Nixes regarding the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.
  • Severability: If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
  • Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and Nixes's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
  • Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without Nixes's prior written consent. Any attempt by you to assign or transfer these Terms, without such consent, will be null and void. Nixes may assign or transfer these Terms, at its sole discretion, without restriction.
  • Notices: Any notices or other communications provided by Nixes under these Terms, including those regarding modifications to these Terms, will be given: (i) via email; or (ii) by posting to the Service. For notices made by email, the date of receipt will be deemed the date on which such notice is transmitted.
